Terms of Service

Access to the Service requires registration through our authentication provider, Clerk. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential.

You are solely responsible for all activity that occurs under your account. You must notify us immediately at jason@skylinetg.us if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from unauthorized account access resulting from your failure to maintain credential security.

We reserve the right to suspend or terminate accounts that provide false registration information or that are used in violation of these Terms.

Free Trial. New accounts receive a 7-day free trial with access to the Service. No payment information is required to begin a trial; however, upgrading to a paid plan requires valid payment details processed through Stripe.

Subscription Billing. Following the trial period, continued access requires a paid Subscription. Subscriptions are billed on a recurring basis (monthly or annually depending on your selected plan). By providing payment information, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation. You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable California law.

Price Changes. We reserve the right to modify Subscription pricing with at least 30 days' written notice. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

Payment Processing. All payments are processed by Stripe, Inc. We do not store your full payment card information. Use of Stripe is subject to Stripe's Terms of Service and Privacy Policy.

Our IP. The Service, including its software, interface, design, trademarks, logos, and all content created by us, is owned by Layer UI / BamCor Digital LLC and is protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely as permitted by these Terms.

Your Content. You retain all ownership rights in Content you upload or create within your Workspace. By submitting Content to the Service, you grant us a limited, worldwide, royalty-free license to store, process, and display your Content solely as necessary to operate and provide the Service to you.

AI-Generated Content. Content generated through AI Features is provided on an "as is" basis. We make no claims of ownership over AI-generated outputs delivered to you. You are responsible for evaluating the accuracy, legality, and appropriateness of any AI-generated Content before use.

Feedback. If you submit suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free license to use that Feedback for any purpose without compensation to you.

No Implied Licenses. Nothing in these Terms grants you any rights in the Service other than as expressly set forth herein. All rights not expressly granted are reserved.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We collect and store workspace data, chat messages, uploaded files, task data, and AI-generated metadata as necessary to operate the Service. We implement reasonable technical and organizational measures to protect your data, but we cannot guarantee absolute security.

Termination by You. You may terminate your account at any time by canceling your Subscription and ceasing use of the Service. You may request deletion of your account data by contacting us at jason@skylinetg.us.

Termination by Us. We reserve the right to suspend or terminate your account, with or without notice, for: (a) violation of these Terms or the Acceptable Use Policy; (b) non-payment of applicable fees; (c) conduct that we reasonably believe poses a risk to the Service, other users, or third parties; or (d) as required by law or court order.

Effect of Termination. Upon termination, your license to use the Service ceases immediately. We may retain your data for up to 30 days following termination to allow for data export, after which it may be permanently deleted. Provisions of these Terms that by their nature survive termination (including IP ownership, limitation of liability, and dispute resolution) shall survive.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYLINE DIGITAL, SKYLINE ENTERPRISES LLC, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Informal Resolution. Before initiating formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at jason@skylinetg.us and providing written notice describing the dispute. We will attempt to resolve the dispute within 30 days.

Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall be conducted in Placer County, California, or remotely by mutual agreement. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND SKYLINE DIGITAL EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION. All disputes must be brought individually.

Exception. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction in Placer County, California to prevent irreparable harm pending arbitration.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Layer UI regarding your use of the Service and supersede all prior agreements, representations, and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights.
